PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING THE REVELIO PLATFORM. BY CREATING AN ACCOUNT, SUBSCRIBING TO ANY PLAN, OR ACCESSING ANY PART OF THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE PLATFORM.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Agent," or "Subscriber") and Revelio Process Inc. ("REvelio," "Company," "we," "us," or "our"), governing your access to and use of the REvelio platform, software, mobile applications, and related services (collectively, the "Platform").

By registering for an account, subscribing to any plan, accessing the Platform, or clicking "Accept and Continue" on any terms acceptance prompt, you represent that: (a) you have read and understand these Terms; (b) you are at least 18 years of age; (c) you have the legal authority to enter into this agreement; and (d) your use of the Platform will comply with all applicable laws, regulations, and licensing requirements.

If you are accepting these Terms on behalf of a brokerage, team, or other legal entity, you represent that you have authority to bind that entity, and references to "you" throughout these Terms will refer to that entity.

2. Service Description

REvelio is a cloud-based real estate transaction management platform designed for licensed real estate professionals. The Platform provides tools for transaction management, client portal access, showing coordination, document management, AI-powered analysis and content generation, MLS listing search and display, offer comparison, and related features as described at revelioprocess.app.

2.1 Service Evolution

REvelio continuously evolves the Platform. We may add, modify, suspend, or remove features at any time. We will provide reasonable notice of material changes that negatively affect your existing workflows through in-app notifications or email.

2.2 Beta Features

Certain features may be designated as "beta," "preview," or "experimental." These features are provided as-is, may contain bugs, and may be changed or discontinued without notice. Your use of beta features is at your own risk.

3. Eligibility and Account Registration

3.1 Professional Licensing Requirement

The Platform is intended for use by licensed real estate professionals. By registering, you represent that you hold a valid real estate license issued by the appropriate regulatory body for your jurisdiction and that your license is in good standing. You agree to maintain your license in good standing for the duration of your subscription.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration, including your legal name, DRE license number, brokerage affiliation, and contact information. You are responsible for keeping your account information accurate and up to date. REvelio reserves the right to verify your license credentials at any time.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify REvelio immediately at support@revelioprocess.app of any unauthorized use of your account. REvelio is not liable for any loss or damage arising from your failure to protect your account credentials.

3.4 One Account Per Individual

Each subscription is for a single named user. You may not share your account credentials or allow others to access the Platform using your credentials. Team features are available under team subscription plans, which allow multiple authorized users under a single brokerage or team.

4. Subscription Plans and Payment

4.1 Subscription Plans

REvelio offers subscription plans with varying features and pricing as described on the REvelio website. Current pricing is available at revelioprocess.app/pricing. REvelio reserves the right to change subscription pricing at any time with 30 days' written notice to existing subscribers.

4.2 Billing and Payment

Subscriptions are billed on a recurring basis (monthly or annually as selected). Payment is processed through Stripe, Inc., our third-party payment processor. By subscribing, you authorize REvelio to charge your payment method on a recurring basis until you cancel. All fees are in USD and are non-refundable except as required by law or as expressly stated herein.

4.3 Failed Payments

If a payment fails, REvelio will attempt to notify you by email. Your access to the Platform may be suspended after failed payment attempts. You will be given a reasonable opportunity to update your payment method before account termination.

4.4 Taxes

You are responsible for all applicable taxes associated with your subscription. Where required by law, REvelio will collect and remit applicable sales tax.

⚠ ATTORNEY NOTE:Review refund policy carefully. Confirm whether California auto-renewal laws (Bus. & Prof. Code § 17600 et seq.) require specific disclosure language and cancellation process details. Confirm Stripe as processor and update any references to payment terms accordingly.

5. Free Trial

REvelio may offer a free trial period for new subscribers. At the end of the free trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You will be notified by email before your trial ends. REvelio reserves the right to modify or discontinue free trial offers at any time.

6. License Grant

Subject to your compliance with these Terms and timely payment of applicable fees, REvelio grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal professional purposes as a licensed real estate professional.

This license does not include: (a) reselling or sublicensing the Platform; (b) using the Platform to provide services to third parties in a service bureau or managed service model; (c) modifying, copying, or creating derivative works of the Platform; (d) scraping, crawling, or automated bulk downloading of Platform data; or (e) reverse engineering any portion of the Platform.

7. Restrictions on Use

You agree not to use the Platform to: (a) violate any applicable law, regulation, or licensing requirement; (b) transmit any unlawful, defamatory, harassing, fraudulent, or harmful content; (c) infringe any third-party intellectual property rights; (d) interfere with the integrity or performance of the Platform; (e) attempt unauthorized access to any portion of the Platform or its infrastructure; (f) use any robot, spider, scraper, or automated means to access or collect data from the Platform; (g) transmit viruses, malware, or other harmful code; (h) use the Platform in a manner that could disable, overburden, or impair it; or (i) use the Platform for any purpose competitive with REvelio's business.

8. MLS Data and CRMLS Terms

8.1 MLS Data Access

The Platform provides access to listing data from the California Regional Multiple Listing Service ("CRMLS") and potentially other MLS sources through licensed data feeds. Your access to MLS data through the Platform is subject to your compliance with these Terms and with applicable MLS participation rules and data licensing terms.

8.2 MLS Data Use Restrictions

MLS data accessed through the Platform may be used only for lawful purposes consistent with your MLS membership obligations. You may not use MLS data to build competing databases, redistribute listing data to unauthorized parties, or use MLS data in any manner that violates CRMLS rules or applicable law.

8.3 CRMLS Data Disclaimer

Based on information from the California Regional Multiple Listing Service (CRMLS) as of the date shown. This information is for your personal, non-commercial use and may not be used for any purpose other than to identify prospective properties you may be interested in purchasing. All information is deemed reliable but not guaranteed. All measurements and all calculations of area are approximate. Information provided is for the consumer's personal, non-commercial use and may not be used for any purpose other than to identify prospective properties that the consumer may be interested in purchasing. REvelio has not independently verified all information, and makes no representations or warranties regarding the accuracy of MLS data displayed on the Platform.

8.4 MLS Data Provider Rights

CRMLS and other MLS data providers retain all intellectual property rights in their respective listing data. REvelio's license to display MLS data is conditioned on our continued compliance with applicable data agreements and may be terminated or modified if those agreements change.

⚠ ATTORNEY NOTE:Review current CRMLS data license agreement and Trestle/Cotality data agreement to confirm that the disclaimer language in Section 8.3 meets all required display obligations. Confirm approved MLS disclaimer text and whether attribution requirements apply to the agent portal, client portal, and public-facing listing displays separately.

9. AI Features and Generated Content

9.1 AI-Powered Features

REvelio uses artificial intelligence, including Anthropic's Claude API, to power features including but not limited to: AI Assistant, document analysis, listing description generation, market analysis, offer strategy tools, showing prep briefs, and feedback analysis. By using these features, you consent to your transaction data, document content, and prompts being transmitted to Anthropic for processing in accordance with Anthropic's privacy policy.

9.2 No Professional Advice

AI-generated content, analysis, recommendations, and suggestions produced by the Platform are for informational and productivity purposes only. They do not constitute legal, financial, investment, appraisal, or professional real estate advice. You are solely responsible for all professional judgments made using or relying on AI-generated content. AI-generated content may be inaccurate, incomplete, or inappropriate. Always review and verify AI-generated content before sharing it with clients or using it in professional communications.

9.3 Accuracy and Limitations

REvelio does not warrant that AI-generated content is accurate, complete, current, or suitable for any particular purpose. AI models can produce errors, hallucinations, and outdated information. You assume all risk associated with reliance on AI-generated content.

9.4 Intellectual Property in AI Output

AI-generated content created through the Platform based on your inputs is provided to you for your use in your professional practice, subject to any limitations imposed by applicable law or Anthropic's usage policies. REvelio does not assert ownership over AI-generated content you create through the Platform.

⚠ ATTORNEY NOTE:AI liability disclaimer language needs attorney review. The "no professional advice" disclaimer may need to be more prominently displayed in the actual AI output UI, not just in ToS. Consider whether California real estate license law creates additional professional responsibility considerations when AI output is used in client-facing communications. Anthropic API data handling and retention policies should be reviewed for accuracy.

10. Client Portal and Client Data

10.1 Client Portals

The Platform enables you to invite your clients — buyers and sellers — to a client-facing portal where they can view transaction status, communicate with you, access documents, and perform role-appropriate actions such as confirming showings. You are responsible for all communications and data shared with your clients through the Platform.

10.2 Your Responsibility for Client Data

You are solely responsible for obtaining all necessary consents from your clients for the collection, storage, and processing of their personal information within the Platform. You represent and warrant that you have all necessary rights, permissions, and consents to input client data into the Platform and to invite clients to access the Portal.

10.3 Agent Responsibility for Client Communications

All client communications facilitated through the Platform are under your control and responsibility as the licensed agent of record. REvelio is a technology platform and is not a party to any agency relationship between you and your clients.

⚠ ATTORNEY NOTE:California real estate agency law and disclosure requirements apply to agent-client communications. Confirm whether any in-platform communications (AI chat, portal messages) could be characterized as agency communications requiring specific disclosures. Review CAR forms and DRE guidance on electronic communications in agency relationships.

11. Showing Request Features and DRE Verification

11.1 Public Showing Request Feature

The Platform provides a public-facing showing request form that listing agents may share with buyer's agents. When buyer's agents submit showing requests, they are required to provide their DRE license number, name, brokerage, contact information, and attestation of the accuracy of the information provided.

11.2 DRE Attestation

The showing request feature includes an attestation mechanism whereby the requesting agent confirms the accuracy of their submitted credentials. This attestation is not a real-time verification of current license status with the California Department of Real Estate. REvelio makes no guarantee that a submitted DRE license number belongs to the submitting agent or that the license is currently active and in good standing.

11.3 Showing Coordination Responsibility

REvelio's showing request and coordination features are tools to facilitate communication. You are solely responsible for verifying any requesting agent's credentials independently, complying with your seller's instructions regarding showing approvals, coordinating access to the property safely, and complying with all applicable agency and Fair Housing obligations in managing showing requests.

11.4 No Discrimination

You agree to use the showing request and coordination features in compliance with all applicable Fair Housing laws, including the Fair Housing Act, the California Fair Employment and Housing Act, and all local fair housing ordinances. You may not use the showing request features to discriminate against any protected class.

⚠ ATTORNEY NOTE:Fair Housing compliance is critical. Review NAR Code of Ethics and CAR requirements regarding showing coordination and equal access. Ensure the platform's showing approval workflow cannot facilitate discriminatory practices and consider adding a Fair Housing compliance acknowledgment to the showing request feature.

12. Document Storage and Management

12.1 Document Storage

The Platform provides document storage and management features through our infrastructure provider Supabase. You may upload transaction documents, reports, and other files to your account. You are responsible for ensuring that documents you upload comply with applicable law and do not infringe any third-party rights.

12.2 No Backup Responsibility

While REvelio maintains industry-standard data backup practices, REvelio is not responsible for any loss of documents or data. You are strongly encouraged to maintain independent copies of all important transaction documents in accordance with your DRE record-keeping obligations.

12.3 DRE Record-Keeping Obligations

Nothing in these Terms supersedes or modifies your obligations under California real estate law and DRE regulations regarding record retention. You are solely responsible for compliance with all applicable record-keeping requirements. REvelio is a productivity tool and is not intended to serve as your sole or primary record-keeping system for regulatory compliance purposes.

⚠ ATTORNEY NOTE:Review California DRE record-keeping regulations (Cal. Code Regs. tit. 10, § 2729 et seq.) to confirm appropriate disclaimers about document storage vs. regulatory record-keeping compliance. Confirm Supabase backup SLAs and whether any document retention promises are appropriate.

13. User Content

13.1 Your Content

"User Content" means all data, information, text, documents, and other materials that you input, upload, or generate through the Platform. You retain all intellectual property rights in your User Content.

13.2 License to REvelio

By submitting User Content to the Platform, you grant REvelio a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely as necessary to provide the Platform services to you. REvelio does not use your User Content, transaction data, or client data to train AI models or for any purpose other than providing the services described herein.

13.3 Content Responsibility

You are solely responsible for all User Content. You represent and warrant that you have the right to submit all User Content and that your User Content does not violate any applicable law or third-party rights.

14. Privacy

REvelio's Privacy Policy, available at revelioprocess.app/privacy, describes how we collect, use, and share your personal information. By using the Platform, you consent to the collection and use of your information as described in the Privacy Policy. The Privacy Policy is incorporated into these Terms by reference.

15. Intellectual Property

15.1 REvelio Property

The Platform, including all software, design, user interface, workflows, AI models, text, graphics, logos, and other content created by REvelio, is and remains the exclusive intellectual property of REvelio or its licensors. Nothing in these Terms transfers any intellectual property rights to you except the limited license expressly granted in Section 6.

15.2 Feedback

If you provide feedback, suggestions, or ideas regarding the Platform ("Feedback"), you grant REvelio a perpetual, irrevocable, royalty-free license to use, modify, and incorporate your Feedback into the Platform without compensation or attribution. REvelio is not obligated to implement any Feedback.

15.3 REvelio Trademarks

"REvelio," "REvelio — The Process," and associated logos are trademarks of Revelio Process Inc. You may not use REvelio's trademarks without prior written permission except as necessary to truthfully describe your use of the Platform.

16. Third-Party Services and Integrations

The Platform integrates with third-party services including Stripe (payments), Supabase (database and authentication), Vercel (hosting), Anthropic (AI), Trestle by Cotality (MLS data), Google Calendar (calendar integration), and Resend (email delivery). Your use of these integrations is subject to the respective third parties' terms and privacy policies. REvelio is not responsible for the availability, accuracy, or actions of any third-party service.

REvelio may add, modify, or remove third-party integrations at any time. We will provide reasonable notice of changes to material integrations. Disconnecting a third-party integration may affect the availability of certain Platform features.

17. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, REVELIO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. REVELIO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. REVELIO DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION ON THE PLATFORM, INCLUDING AI-GENERATED CONTENT AND MLS LISTING DATA.
⚠ ATTORNEY NOTE:California UCL (Bus. & Prof. Code § 17200) and CLRA considerations may limit the enforceability of broad warranty disclaimers against California consumers. Review applicability to B2B SaaS context (professional real estate agents vs. consumers). Confirm "as is" language is appropriate and whether any implied warranties survive under California law.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REVELIO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF REVELIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. REVELIO'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO REVELIO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
⚠ ATTORNEY NOTE:Limitation of liability caps are frequently contested in California courts. Review enforceability of the 12-month cap in B2B SaaS context. Consider whether any carve-outs are needed (e.g., gross negligence, fraud, willful misconduct, death or personal injury). Confirm applicability to MLS data errors and AI output errors specifically.

19. Indemnification

You agree to indemnify, defend, and hold harmless REvelio, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform in violation of these Terms; (b) your User Content; (c) your professional services and client relationships; (d) your violation of any applicable law or regulation; (e) your violation of any third-party rights; or (f) any claim by your clients arising from your use of the Platform.

⚠ ATTORNEY NOTE:Broad indemnification provisions may be difficult to enforce in California consumer contracts. Confirm this is appropriate for B2B professional context. Consider reciprocal indemnification for REvelio's own gross negligence or willful misconduct.

20. Term and Termination

20.1 Term

These Terms begin on the date you first access the Platform and continue until your subscription is terminated by either party.

20.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support@revelioprocess.app. Cancellation takes effect at the end of your current billing period. You will retain access to the Platform through the end of your paid period.

20.3 Termination by REvelio

REvelio may suspend or terminate your account immediately for cause, including but not limited to: violation of these Terms, failure to pay fees, or conduct that REvelio determines poses a risk to the Platform, other users, or third parties. REvelio may terminate your account without cause upon 30 days' written notice.

20.4 Effect of Termination

Upon termination, your license to use the Platform is immediately revoked. REvelio will retain your data for 90 days following termination during which you may export your transaction data and uploaded documents. After 90 days, your data will be permanently deleted. Sections of these Terms that by their nature should survive termination will survive, including without limitation Sections 7, 13, 15, 17, 18, 19, 21, 22, and 23.

21. Data Retention and Export

Active account data is retained as long as your subscription remains active. After cancellation, data is retained for 90 days during which you may request an export of your transaction data and uploaded documents by contacting support@revelioprocess.app. After 90 days, data is permanently deleted. REvelio will make reasonable commercial efforts to provide a data export in a standard format. REvelio is not responsible for data lost after the 90-day retention window expires.

22. Modifications to Service and Terms

22.1 Platform Changes

REvelio reserves the right to modify, update, suspend, or discontinue the Platform (or any part of it) at any time. REvelio will provide reasonable advance notice of material changes via in-app notification or email where practicable. Continued use of the Platform after changes take effect constitutes your acceptance of those changes.

22.2 Terms Changes

REvelio may update these Terms at any time. Material changes will be communicated by email and in-app notification at least 14 days before they take effect. Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform before the effective date.

23. Governing Law and Dispute Resolution

23.1 Governing Law

These Terms and any dispute arising out of or related to these Terms or the Platform shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

23.2 Informal Dispute Resolution

Before initiating any formal dispute resolution proceeding, you agree to contact REvelio at support@revelioprocess.app and provide a written description of the dispute and the relief sought. The parties will attempt to resolve the dispute informally for 30 days.

23.3 Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with arbitration conducted in [County], California. The arbitrator may award the same damages and relief available in court. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

23.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST REVELIO. ANY DISPUTE MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION.

23.5 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.

⚠ ATTORNEY NOTE:Arbitration clauses and class action waivers face increasing scrutiny in California courts (see Viking River Cruises v. Moriana and related California PAGA cases). While this is a B2B contract (not consumer), confirm enforceability against licensed real estate professionals acting in their professional capacity. Insert correct JAMS venue county. Review whether mandatory arbitration creates any issues with professional licensing dispute processes. Confirm current JAMS rules citation.

24. General Provisions

24.1 Entire Agreement

These Terms, together with the Privacy Policy and any Order Form or subscription confirmation, constitute the entire agreement between you and REvelio regarding the Platform and supersede all prior agreements, representations, and understandings.

24.2 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

24.3 Waiver

REvelio's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future.

24.4 Assignment

You may not assign these Terms or your account without REvelio's prior written consent. REvelio may assign these Terms without restriction in connection with a merger, acquisition, or sale of substantially all of its assets.

24.5 Force Majeure

REvelio shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemic, government actions, or failure of third-party services.

24.6 Notices

Notices to you will be sent to the email address on your account. Notices to REvelio should be sent to support@revelioprocess.app. Legal notices should be sent to the mailing address listed in Section 25.

24.7 Relationship of Parties

These Terms do not create any partnership, joint venture, employment, franchise, or agency relationship between you and REvelio. You are an independent professional using a software platform.
